Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dunnly.co, operated by Bear Software ("we", "our", or "us"), a company registered in the Netherlands. By creating an account or using our service you agree to these Terms.
1. The service
Dunnly.co is a SaaS payment recovery platform that connects to your Stripe account via OAuth and automatically retries failed subscription invoices, sends AI-generated dunning emails, and provides recovery analytics ("Service").
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business. By using Dunnly you represent that you meet these requirements.
3. Stripe Connect authorization
To use the Service you authorize Dunnly to access your Stripe account via Stripe Connect OAuth. This access is limited to reading invoices, customers, and payment methods, and triggering retries on failed invoices. You can revoke this access at any time via your Stripe Dashboard or by disconnecting from the Dunnly Settings page.
4. Pricing and billing
- Performance plan: you pay a percentage of revenue Dunnly successfully recovers. No recovery = no charge.
- Hybrid plan: a reduced monthly base fee plus a lower percentage of recovered revenue.
- Flat plan: a fixed monthly fee regardless of recovered amount.
All prices are exclusive of VAT (excl. BTW). Invoices are issued monthly. Payment is due within 14 days of invoice date. We reserve the right to suspend access for overdue accounts.
5. Your responsibilities
- You are responsible for the accuracy of your Stripe data and customer information.
- You must ensure you have a legal basis to send dunning emails to your customers under applicable law (e.g. GDPR, CAN-SPAM).
- You are responsible for entering into any required privacy notices and data processing terms with your end customers.
- You may not use Dunnly to process payments for prohibited business types as defined by Stripe.
- You must keep your login credentials confidential.
6. Dunning emails sent on your behalf
Dunnly sends recovery emails to your customers using your brand voice settings. You remain the sender of record and are responsible for the content and compliance of these communications. You can disable email sending at any time from your workspace settings.
7. Intellectual property
Dunnly and its underlying technology remain the property of Bear Software. Nothing in these Terms transfers any intellectual property rights to you. You grant us a limited licence to access your Stripe data solely to provide the Service.
8. Limitation of liability
To the fullest extent permitted by law, Dunnly is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to lost revenue, failed payment recoveries, or email deliverability issues. Our total liability for any claim is limited to the fees you paid to us in the 3 months preceding the claim.
9. Warranty disclaimer
The Service is provided "as is" without warranties of any kind. We do not guarantee a specific recovery rate or email delivery rate.
10. Termination
You may cancel your account at any time from the Settings page. We may suspend or terminate your access for breach of these Terms, with or without notice. On termination, outstanding invoices remain payable.
11. Changes to these Terms
We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance.
12. Governing law
These Terms are governed by Dutch law. Disputes shall be submitted to the exclusive jurisdiction of the courts of the Netherlands.
